a) Specific clause regarding the prohibition of modifying and using AI.
Prohibition of modifying content and using artificial intelligence technologies.
Without prejudice to the provisions in the “Restricted Uses” section, the Client expressly acknowledges and accepts that:
The licensed content (including images featuring individuals, especially minors) may only be used in the form in which it was delivered by Mayoral Moda Infantil SAU. Only neutral technical adjustments (such as cropping, reframing, or colour correction) that do not alter the editorial integrity of the content or the appearance of the represented individuals are permitted.
Any substantial modification of the content is strictly prohibited, including, but not limited to:
-
alterations to the physical features, facial expressions, body build, or clothing of the represented individuals;
-
placing the represented individuals in backgrounds, scenes, or contexts different from the originals that could be contrary to their interests, degrading, humiliating, sexualised, or likely to harm their honour, privacy, or image;
-
combining the content with other graphic, audiovisual, or textual elements that could distort the legitimate commercial purpose of the content or associate the image of minors with products, services, or messages not authorized by Mayoral Moda Infantil SAU.
It is prohibited to use the content, its metadata, or any information associated with it:
to train, feed, or improve machine learning systems, artificial intelligence, or biometric technologies;
to generate, through artificial intelligence systems (including, without limitation, generative models for images, video, or text), new images, videos, or derivative materials that reproduce, imitate, or manipulate the image of the individuals represented in the content, especially minors.
The Client acknowledges that any use of the content that violates this clause constitutes a material breach of this agreement; it excludes the application of the non-infringement warranty provided by Mayoral Moda Infantil SAU regarding the content in its original form; and may give rise to claims by third parties (including parents, guardians, models, and casting agencies) for unlawful interference with fundamental rights, for which the Client shall bear sole responsibility for handling and consequences.
b) Clause on liability regarding claims by third parties (parents, models, agencies)
Client’s liability regarding claims by third parties
The Client acknowledges that Mayoral Moda Infantil SAU has obtained the necessary authorizations for using the content under the terms and purposes set forth in this agreement, and that such authorizations do not cover uses different from those specified nor modifications to the content made by the Client or third parties acting on behalf of the Client.
The Client shall be solely responsible for any claims, legal or extrajudicial actions, demands, or complaints filed by:
-
the individuals represented in the content (including minors),
-
their parents, guardians, or legal representatives,
-
casting agencies or model representatives,
-
or any other third party, arising from:
-
the modification of the content by the Client or by third parties acting on their behalf;
-
the use of the content in contexts, platforms, or for purposes not authorised under this agreement;
-
or the use of the content for machine learning, artificial intelligence, or biometric technologies.
In such cases, the Client agrees to:
-
defend, indemnify, and hold harmless Mayoral Moda Infantil SAU, its parent company, subsidiaries, employees, and content providers from any damages, costs, administrative penalties, compensation (including moral damages), or expenses (including reasonable external legal fees) resulting from such claims;
-
cover the payment of any compensation that may be ordered due to unlawful interference with the right to honour, privacy, or personal image of the affected individuals, in accordance with Organic Law 1/1982 and Organic Law 1/1996;
-
and take immediate action to stop such interference, including removing the content (original and modified) from all media and storage devices where it has been distributed.
Mayoral Moda Infantil SAU may, at its sole discretion, intervene in managing such claims to protect the company’s image and that of the affected minors, without assuming responsibility for the acts attributed to the Client.
c) Specific termination clause regarding AI use/image manipulation of minors
Termination due to improper use of artificial intelligence and image manipulation of minors
Without prejudice to the other grounds for termination provided in this agreement, Mayoral Moda Infantil SAU may immediately terminate, in whole or in part, this license agreement with a Client upon simple written notice if:
-
it detects or has reasonable grounds to believe that the Client has used the content for machine learning, artificial intelligence, or biometric technologies in violation of this agreement; or
-
it becomes aware that the Client has modified, manipulated, or combined images of minors included in the content in a manner contrary to their interests or likely to harm their honour, privacy, or personal image.
In such an event, the Client must:
-
immediately cease all use of the content (original and modified);
-
delete or destroy any copies of the content and derived versions it has created, on any medium;
-
and, if requested, provide Mayoral Moda Infantil SAU with written confirmation of compliance with these obligations, along with reasonable evidence of the removal of the content from its channels and platforms.
Termination under this clause does not limit Mayoral Moda Infantil SAU’s right to claim damages incurred, nor to pursue corresponding civil or criminal actions.
